Terms and Conditions
These Terms and Conditions (“Terms”) are a binding legal agreement between you and I AM GRACE INC., a California corporation (“I AM GRACE,” “NEDOCS,” “we,” “us,” or “our”). These Terms govern your access to and use of the NEDOCS marketing website at https://www.nedocs.org and related pages (the “Site”). By accessing or using the Site, or by clicking “I accept,” you agree to be bound by these Terms. If you do not agree, do not access or use the Site.
1. About the Site and product information
The Site describes the NEDOCS emergency-department surge operations platform. Information on the Site is for general informational and marketing purposes and does not by itself constitute a contract for software or services. Any commercial relationship is governed by separate written agreements.
2. Not medical advice; no reliance
Content on the Site is for general information only. NEDOCS is operational and educational decision support; it does not diagnose, treat, or replace the independent judgment of licensed clinicians. You agree not to rely on the Site in making medical, staffing, legal, or business decisions without independent professional advice.
3. Eligibility and account responsibility
You must be at least 18 and legally capable of forming a binding contract. Access to the NEDOCS product requires a separate registration flow and acceptance of the Subscription Agreement. You are responsible for the confidentiality of your credentials and all activity under them.
4. Ownership of intellectual property
The Site and all content, features, and functionality (the “NEDOCS Content”) are owned by I AM GRACE INC., its affiliates, or its licensors and protected by intellectual-property laws. No implied rights are granted. You may not remove proprietary notices.
5. Trademarks
“I AM GRACE,” “NEDOCS,” the NEDOCS logo, and related names and designs are trademarks of I AM GRACE INC. You may not use the NEDOCS Marks without prior written permission. Third-party marks remain the property of their respective owners.
6. Trade secrets and proprietary methodologies
NEDOCS’s surge-band definitions, acuity matrices, scoring weights, algorithms, prompts, methodologies, and related know-how constitute valuable trade secrets. You shall not acquire, disclose, or use them through improper means.
7. Limited license to the Site
Subject to compliance with these Terms, I AM GRACE grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and view the Site for your own lawful informational purposes or to evaluate the NEDOCS product. All other rights are reserved.
8. Prohibited uses
You will not copy, distribute, or exploit NEDOCS Content beyond Section 7; create derivative works; reverse engineer; crawl or scrape; use NEDOCS Content to train ML/AI systems without consent; engage in competitive use; remove proprietary notices; probe or attack the Site; impersonate; upload unlawful or harmful material; send unsolicited communications; or otherwise threaten the Site’s security or integrity.
9. User submissions and feedback
You represent that you own or control rights in any Submission. You grant I AM GRACE a worldwide, perpetual, irrevocable, royalty-free license to use Submissions. Feedback is provided voluntarily, without compensation or confidentiality, and assigned to I AM GRACE.
10. Copyright (DMCA) notice and takedown
We respect intellectual-property rights and have designated an agent to receive DMCA notices at I AM GRACE INC., 2121 Avenue of the Stars, Suite 800, Century City, CA 90067. Repeat infringers may be terminated.
11. Third-party content and links
The Site may link to third-party content provided for informational purposes only. We do not control, endorse, or assume responsibility for it.
12. Privacy
Information you provide is handled in accordance with our Privacy Policy at https://www.nedocs.org/privacy, incorporated by reference.
13. Monitoring, enforcement, and termination
We may monitor use, investigate violations, remove content, and suspend or terminate access at any time, with or without notice and without liability. Surviving sections continue after termination.
14. Disclaimer of warranties
THE SITE AND NEDOCS CONTENT ARE PROVIDED “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW.
15. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, I AM GRACE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF USD $100 OR AMOUNTS PAID IN THE PRECEDING 12 MONTHS.
16. Indemnification
You will defend, indemnify, and hold harmless the Indemnified Parties from third-party claims arising out of your use of the Site, your breach of these Terms, your violation of law or third-party rights, your Submissions, competitive use, or your misconduct or negligence.
17. Equitable relief
Breach of Sections 4–9 will cause irreparable harm; I AM GRACE is entitled to seek injunctive and other equitable relief without bond.
18. Governing law and venue
These Terms are governed by the laws of the State of California. The state and federal courts in Los Angeles County, California have exclusive jurisdiction. Claims must be brought within one (1) year.
19. Export controls, sanctions, and geographic use
The Site may be subject to U.S. export-control and sanctions laws. You represent you are not located in an embargoed region or on a restricted-party list.
20. Electronic communications and notices
You consent to receive communications electronically. Notices to us should be sent to I AM GRACE INC., Attn: Legal, 2121 Avenue of the Stars, Suite 800, Century City, CA 90067.
21. Changes to the Terms
We may modify these Terms. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Site.
22. Assignment
You may not assign these Terms without our consent. We may freely assign or transfer them.
23. Severability; waiver; entire agreement
Invalid provisions will be modified or severed; remaining provisions remain in effect. These Terms, together with referenced documents, constitute the entire agreement regarding the Site.
24. Relationship of the parties; headings
Nothing creates an agency, partnership, joint venture, or employment relationship. Headings are for convenience only. “Including” means “including without limitation.”
25. U.S. government end users
Government entities acknowledge the NEDOCS Content is “commercial computer software” under 48 C.F.R. §§ 12.212 and 227.7202.
